Welcome to Ideal AI, a DBA of Kitamura Group LLC. This document establishes the formal agreement governing your use of our structured intelligence solutions and consulting services. Please review these terms carefully as they dictate our mutual responsibilities, compliance standards, and operating procedures.
Core Agreements
1. Acceptance of Terms
By accessing or using the AI consulting and automation services provided by Ideal AI (a DBA of Kitamura Group LLC), you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions outlined herein, you may not access our services.
2. Services Description
Ideal AI provides specialized artificial intelligence consulting, system integration, and workflow automation for businesses. Services are delivered 'as is' and may be subject to ongoing updates, enhancements, and modifications to reflect the rapidly evolving nature of AI technology and industry best practices.
3. User Responsibilities
You agree to provide accurate, current, and complete data necessary for the execution of our services. You are responsible for maintaining the confidentiality of any system access credentials and for all activities that occur under your accounts. You agree not to use our automated systems or models to generate, distribute, or promote illegal, infringing, or harmful content.
4. Payment Terms
Fees for our consulting and automation services are defined in your specific Statement of Work (SOW) or software subscription plan. Payments are due as specified in the applicable invoice. Contact our billing department for any discrepancies. Late payments may result in service suspension. All fees are non-refundable unless otherwise explicitly stated in writing.
5. Intellectual Property
All methodologies, source code, automation scripts, prompts, and proprietary AI frameworks developed by Ideal AI remain the exclusive intellectual property of Kitamura Group LLC. Upon full payment of the agreed-upon fees, clients are granted a perpetual, non-exclusive, non-transferable license to use the customized deliverables strictly for their internal business operations.
Liability & Compliance
Limitation of Liability
Ideal AI (Kitamura Group LLC) provides its services on an 'as-is' and 'as-available' basis. We expressly disclaim all warranties, whether express or implied. Under no circumstances shall our aggregate liability exceed the total amount paid by you for the specific service in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from your use of our AI automation tools or consulting services.
SMS Messaging Terms
By providing your phone number, you consent to receive account-related and promotional text messages from Ideal AI. Message frequency varies. Standard message and data rates may apply. You may opt out at any time by replying 'STOP' to any message. We maintain strict TCPA compliance and do not sell or rent your mobile data to third parties. For assistance, reply 'HELP' or contact our support team.
SMS Messaging Terms
Program Description
Ideal AI may send SMS text messages to provide appointment reminders, promotional messages about services and offers, and customer care updates related to your relationship with Ideal AI.
Opt-Out Instructions
You may opt out of receiving SMS messages from Ideal AI at any time by replying STOP to any message you receive from us. After you send the STOP message, we may send a final confirmation message to confirm that you have been unsubscribed.

Message Frequency, Rates, and Availability
Message frequency may vary based on your interactions with Ideal AI. Message and data rates may apply to any SMS messages sent to or from Ideal AI, as determined by your mobile carrier plan. You are responsible for any such charges.
Carrier Liability
Mobile carriers are not liable for delayed or undelivered messages. Delivery of SMS messages is subject to effective transmission from your wireless service provider and is outside of Ideal AI’s control.
Eligibility and Age Restriction
By opting in to receive SMS messages from Ideal AI, you represent that you are at least 18 years of age and that you are the owner or authorized user of the mobile phone number you provide.
Privacy and Data Usage
For information on how Ideal AI collects, uses, and protects your information, please review our Privacy Policy at https://idealai.ai/privacy-policy. Your participation in the SMS messaging program is also governed by our Privacy Policy and Terms of Service.
EXIT PROCESS
Termination & Support
Termination of services must adhere to the following procedural guidelines:
- Written notice of termination must be provided at least 30 days in advance.
- Access to Ideal AI proprietary systems and automations will cease upon termination.
- All pending payment obligations remain enforceable under Florida law.
